Joint venture of ITWL and Boryszew S.A.

 

On Friday, October 17, 2025, the Air Force Institute of Technology (ITWL), supervised by the Minister of National Defence, signed a conditional agreement with Boryszew S.A. to acquire 52% of the shares in the company Hornet – Polskie Drony Spółka z o.o., established by Boryszew S.A.

The acquisition of these shares by ITWL is conditional upon obtaining approval from the President of the Office of Competition and Consumer Protection for the planned concentration. This undertaking was based on the consent granted by the Minister of National Defence to purchase shares in the compBoryszew logoany, with the aim of commercializing the results of scientific research.

In line with the intentions of the parties, expressed, among others, in the Letter of Intent signed by both parties on July 29, 2025 — later amended on September 12, 2025 — the activities of the special-purpose company will primarily focus on the production of combat unmanned aerial weapon systems (UAWS), leveraging the research and intellectual potential of ITWL as well as the financial and production capabilities of Boryszew S.A. To this end, the Management Boards of Boryszew S.A. and ITWL signed a cooperation agreement under which Boryszew S.A. will provide, among other things, financing necessary to commission and cover the costs of research and development work and the production of a pilot batch of UAWS. Additionally, Boryszew S.A. will lease industrial facilities and the required equipment to the special-purpose company, enabling production within the scope of the agreed activities. ITWL’s contribution will consist of know-how and highly skilled specialists in the aviation and IT sectors related to UAWS production.

ITWL is the only military research institute supporting military aviation technology. Since 1953, it has been developing modern solutions and technologies that bring high savings to the Polish Armed Forces, maintaining the highest level of aviation technology in operation. It is a manufacturer of m.in advanced unmanned aerial vehicles and their strategic subsystems, directly affecting the security and potential of the Polish Armed Forces.

The cooperation between the Boryszew Group and ITWL has been going on for a long time, mainly in the field of production of aviation weapons. The result of this activity was, for example, the purchase of 100% of the shares of Nylonbor Sp. z o.o. from Boryszew S.A. in December 2022, with which ITWL carried out many projects, including m.in flares for aircraft passive defense systems and Air Target Imitators intended for the training of Missile Troops. In addition, Nylonbor supplies our Armed Forces with such products as, for example, grenades, smoke candles, illuminating and incendiary charges, as well as cumulative charges. Nylonbor is also a well-established brand in the engineering plastics sector, producing high-quality products in the form of rods, bushings and polyamide sheets.

This type of activity, carried out by the institute as well as by both state-owned and private industry, forms the foundation for the development of innovative projects aimed, among other things, at enhancing the defence capabilities of the Polish Armed Forces and the security of the state.
